The pages that follow set out the formal terms governing your use of delphirive.com and your purchase of pieces from our house. We've kept this document standard and complete, in the language our legal counsel recommends, to ensure it offers the right protection for both of us. General Conditions

Delphi Rive (referred to herein as "Delphi Rive," "us," "we," or "our") has prepared the following Terms & Conditions of Use ("Terms") to apply to all visitors and clients of www.delphirive.com (the "Site") and all purchases of our products through the Site.

These Terms are written in English. We do not guarantee the accuracy of any translated versions. To the extent any translated version conflicts with the English version, the English version shall control.

Please read these Terms carefully before using the Site or purchasing any of our pieces. By using the Site or placing an order, you agree to be bound by these Terms, including the Binding Arbitration Clause and Class Action Waiver below, and our Privacy Policy. If you do not agree, please discontinue use of the Site.

Headings used herein are for convenience only and will not limit or otherwise affect these Terms.

Definitions

For the purposes of these Terms, the following definitions apply:

"Site" means www.delphirive.com, our mobile site, and any related digital properties operated by Delphi Rive.
"Pieces" means the lingerie and related products offered for sale through the Site.
"Client" or "you" means any person who accesses the Site or places an order with us.
"Order" means an offer submitted by a Client to purchase one or more Pieces.
"Materials" means all content, design, photography, copy, code, and other intellectual property displayed on the Site.

Right to Use the Site

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for personal, non-commercial purposes, provided your use does not violate these Terms or any applicable law.

We reserve the right to terminate or restrict your access to the Site at any time, in our sole discretion, with or without notice. We may also temporarily or permanently modify, suspend, or discontinue any feature of the Site for any reason, including maintenance or upgrades. We will not be liable for any unavailability of the Site at any time.

All rights, title, and interest in the Site remain with us and our licensors.

Orders & Formation of Contract

When you place an Order through the Site, you are submitting an offer to purchase the Pieces in your basket at the prices listed. Your Order is not a binding contract; we may, in our sole discretion, accept or decline any Order for any reason, including without limitation suspected fraud, errors in pricing, errors in stock availability, shipping restrictions, or where we are unable to verify your information.

A binding contract is formed only when we dispatch the Order and send you a shipping confirmation email.

Limited Editions & Stock Limits

Many Delphi Rive pieces are produced in limited quantities. We reserve the right to limit the quantity of any piece that may be purchased per person, per household, or per Order. We also reserve the right to refuse or cancel any Order placed in violation of these limits, including Orders placed under the same client account, the same payment method, or the same shipping address.

Stock Discrepancies

If, after Order placement, we discover that a piece is unavailable, incorrectly priced, or otherwise cannot be fulfilled as listed, we reserve the right to cancel the affected piece(s) from your Order. In such event, we will write to you and offer a resolution, which may include an alternative size, a partial refund, or a full refund.

Pricing & Currency

All prices on the Site are listed in United States Dollars (USD) unless otherwise noted. Prices are exclusive of any duties, taxes, VAT, customs charges, or shipping fees, which may apply to your delivery and are calculated at checkout or upon arrival of the parcel, depending on destination.

Currency conversions, where displayed, are estimates. The final charge to your payment method may vary based on exchange rates at the time your payment is processed.

Errors in Pricing

Despite our best efforts, pieces may occasionally be mispriced on the Site. In the event a piece is listed at an incorrect price, we reserve the right to cancel any Order placed at that price, even after you have received an Order confirmation. Should this occur, we will write to you and refund any payment made.

Sales Tax

Where required, applicable sales tax is calculated and applied at checkout based on the destination address. Tax rates vary by destination and are not reflected in the prices displayed on individual product pages.

Delivery & Risk of Loss

Detailed shipping rates, dispatch times, and delivery information are set out on our Shipping & Delivery page, which is incorporated into these Terms by reference.

Risk of Loss & Title Transfer

Title to the Pieces and risk of loss pass to you upon delivery to the carrier (FOB Origin). From that point forward, the risk is yours, except where modified by your selected shipping method or by applicable law.

For the security of each parcel, all Delphi Rive shipments require a direct, adult signature upon delivery. Should a parcel be declared lost or damaged in transit, please write to us promptly so we may open an investigation with the carrier on your behalf.

Refused or Undelivered Parcels

Should a parcel be refused at delivery or returned to us due to an incomplete or incorrect address, we will write to you to arrange redelivery. Any additional shipping costs will be drawn from the original payment, and original shipping fees remain non-refundable in such cases.

Delivery Address Accuracy

It is your responsibility to provide an accurate and complete delivery address at the time of purchase, and to ensure a safe and secure location is available for delivery. We accept no liability for delays, misdeliveries, or other issues arising from an incorrect, incomplete, or inaccessible address.

Changes & Cancellations to Your Order

Once an Order is placed, we begin preparing it at once. Should you need to amend the delivery address, change a size, or cancel an Order, please write to us within four (4) hours of placement at customercare@delphirive.com. Beyond this window, we cannot guarantee that changes can be made before dispatch.

We may also cancel an Order, in whole or in part, for reasons including but not limited to suspected fraud, payment issues, stock discrepancies, or other circumstances that may prevent successful fulfillment. Where we cancel, we will write to you to notify you and provide appropriate next steps, including issuing refunds where applicable.

Returns & Exchanges

Detailed return and exchange terms are set out on our Returns & Exchanges page, which is incorporated into these Terms by reference. In summary:

Returns must be requested within twenty-eight (28) days of delivery, through our Returns Portal
Pieces must be returned unworn, unwashed, with original tags attached, and free from fragrance, makeup, or pet hair
For United States clients, exchanges are available subject to stock
For International clients, returns are accepted for refund only
Original shipping fees, duties, taxes, and customs charges are non-refundable

Abnormal Returns

If we observe an unusual pattern of return activity that we, in our sole discretion, consider abnormal — including but not limited to excessive returns, items returned in worn condition, or returns inconsistent with the Pieces ordered — we reserve the right to refuse new Orders from associated client accounts, deactivate any related account, or take legal action for the recovery of losses where appropriate.

Final Sale Items

Pieces marked Final Sale are not eligible for refund, exchange, or store credit, except where the piece is deemed faulty under our Limited Warranty on Pieces.

Limited Warranty on Pieces

We warrant that all Pieces are free from defects in materials and workmanship at the time of delivery. This warranty does not cover damage caused by ordinary wear, improper care, alteration, accident, or failure to follow care instructions provided with the piece.

Should you receive a Piece you believe to be defective, please write to customercare@delphirive.com within fourteen (14) days of delivery, including your order number and clear photographs of the defect. We will arrange repair, replacement, or refund at our discretion.

This limited warranty does not affect your statutory rights as a consumer under applicable law.

Customs & Duties

International Orders may be subject to import duties, taxes, VAT, or customs charges, depending on the destination. These are determined by your country's authorities and are not within our control.

Where they apply, such charges are payable on receipt of the parcel and remain the responsibility of the recipient. Original shipping fees, duties, taxes, and customs charges are non-refundable, save where the return is the result of a verified fault on our part.

We complete all customs documentation accurately to the best of our knowledge. We are not responsible for delays, refusals, or additional charges that arise from a country's customs procedures.

Sale & Final Sale

From time to time, we may offer Pieces at sale or promotional prices. Sale prices apply only during the designated promotional period and are not retroactively applied to prior purchases. We do not offer reimbursement of the price difference if a piece you have purchased subsequently goes on sale.

We reserve the right to amend, withdraw, or end any sale at any time. Stock at sale prices is limited and subject to availability.

Promotional Codes

We may from time to time issue promotional codes, discounts, or special offers. Each offer is subject to its own specific terms, including expiration dates, minimum order amounts, eligible Pieces, and any geographic or other restrictions.

Unless explicitly stated, promotional codes:

are valid only during the period stated
cannot be combined with any other offer, discount, or sale
cannot be applied to previous Orders
cannot be used to purchase gift cards
are issued for individual use only and may not be transferred
have no cash value

We reserve the right to revoke, modify, or cancel any promotional offer at any time, and to cancel Orders placed in connection with the misuse of any promotional code.

Gift Cards

Where offered, Delphi Rive gift cards are subject to the following terms:

Gift cards may be redeemed only against Delphi Rive Pieces purchased through the Site
Gift cards are non-refundable and may not be redeemed for cash, except where required by applicable law
Lost, damaged, or stolen gift cards will not be replaced
Gift cards may not be used to purchase additional gift cards
Any unused balance remains on the gift card and may be applied to future purchases
Gift cards are issued in United States Dollars and are not transferable to a different currency
We reserve the right to cancel any gift card we reasonably suspect was obtained or used fraudulently

Intellectual Property

All Materials displayed on or accessible through the Site — including but not limited to design, artwork, hyperlinks, text, videos, photography, software, illustrations, code, graphics, and their selection and arrangement — are the proprietary property of Delphi Rive, our affiliates, or our licensors, and are protected by United States and international intellectual property laws.

The Materials may not be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means in whole or in part without our prior written permission, except that you may download and print Materials for non-commercial personal use only, provided you keep all proprietary notices intact and do not alter the Materials.

You agree that you will not systematically extract, scrape, harvest, or otherwise collect data from the Site through automated means or otherwise, including but not limited to client identities or any information defined under our Privacy Policy.

All trademarks, service marks, and trade names visible on the Site are the property of Delphi Rive or our licensors and may not be copied, imitated, or used without our prior written permission.

User Submissions & Public Posts

If you submit any reviews, comments, photographs, social media posts tagging Delphi Rive, or other content to us or about us — whether through the Site, by email, on Instagram or other platforms, or otherwise ("User Content") — you grant Delphi Rive a non-exclusive, royalty-free, perpetual, irrevocable, fully transferable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, and display such User Content throughout the world in any media.

You represent and warrant that you own or otherwise control all rights to the User Content you provide; that the User Content is accurate; that its use does not violate this policy; and that you will indemnify Delphi Rive for any claims resulting from User Content you supply.

We may, but are not obligated to, monitor, edit, or remove any User Content in our sole discretion.

Notice of Copyright Infringement

In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, it is our policy, in appropriate circumstances, to terminate the accounts of users who are deemed to infringe third-party intellectual property rights and to remove infringing User Content.

If you believe that your work has been copied in a way that constitutes copyright infringement and is displayed on the Site, please provide the following information to our designated agent:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright
a description of the copyrighted work that you claim has been infringed
a description of where the infringing material is located on the Site
your address, telephone number, and email address
a statement that you have a good faith belief the disputed use is not authorized
a statement, made under penalty of perjury, that the information is accurate and that you are authorized to act

Prohibited Uses

You are prohibited from using the Site or its content: (a) for any unlawful or fraudulent purpose, including the use of fraudulent payment information; (b) to solicit others to perform unlawful acts; (c) to violate any international, federal, state, or local laws or regulations; (d) to infringe upon our intellectual property or that of any third party; (e) to harass, abuse, defame, threaten, or discriminate against any person on any protected basis; (f) to submit false or misleading information or impersonate another; (g) to upload or transmit viruses, malicious code, or other harmful material; (h) to collect or track personal information of others; (i) to send spam, phishing, or other unsolicited communications; (j) to interfere with the security or integrity of the Site; (k) to engage in unauthorized framing of, or linking to, the Site; (l) to use any automated system, scripts, robots, or scrapers to access the Site; (m) to use the Site to advertise or sell competing products; (n) to decipher, decompile, or reverse engineer any software making up the Site; or (o) in any way that violates these Terms or our Privacy Policy.

We reserve the right to terminate your access to the Site for any prohibited use.

User Accounts

Certain features of the Site may require you to establish a user account. If you open an account, you must create and maintain a unique username and password. You are solely responsible for maintaining the confidentiality of your account information.

You agree to provide accurate, current, and complete information in connection with your account, and to keep that information up to date. You are responsible for safeguarding your account access and for all activities that occur through your account. Notify us promptly of any unauthorized use.

We reserve the right to suspend or terminate your account at any time, in our sole discretion.

Eligibility

The Site is intended for users who are at least eighteen (18) years of age. By accessing the Site or placing an Order, you represent and warrant that you are at least eighteen years old, or have reached the age of majority in your jurisdiction of residence, and have the legal capacity to enter into binding contracts.

If we become aware that a user is under the age of sixteen (16) and has provided us with personal information, we will take steps to remove such information in accordance with applicable law. Contact us if you believe a child has provided personal information to us.

Accuracy of Information

The Site may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, availability, or other Site content. We do not warrant the accuracy or completeness of such information.

We reserve the right to correct any errors, update information, or cancel Orders at any time without prior notice (including after you have submitted your Order, payment, or other information). We are not obligated to update, amend, or clarify information except as required by law.

Product descriptions and photography on the Site are provided for informational purposes only. The styles, designs, and colors shown may vary slightly from the Pieces delivered, due to manufacturing variation or display calibration on your device.

Third-Party Links & Content

The Site may contain links to other websites, mobile applications, or social media platforms operated by third parties. We are not responsible for the content, accuracy, or practices of any third-party site, and we make no warranty regarding any third-party materials, products, or services.

A link from the Site to a third party does not constitute an endorsement. Please review the policies and practices of any third-party site before engaging with it. Claims, questions, or concerns about a third-party site should be directed to that party.

You may not create a link to the Site without our prior written consent.

Site Warranty Disclaimer

THE SITE AND THE INFORMATION ON OR AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM USE OF THE SITE WILL BE ACCURATE OR RELIABLE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXCLUDE ALL REPRESENTATIONS AND WARRANTIES RELATING TO THE SITE, ITS CONTENT, OR ANY INFORMATION PROVIDED BY THIRD PARTIES.

This disclaimer applies to the Site only. Our limited warranty on the Pieces themselves is set out separately in Limited Warranty on Pieces above.

Limitation of Liability

IN NO CASE SHALL DELPHI RIVE, OUR EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE ARISING FROM YOUR USE OF THE SITE OR YOUR PURCHASE OF PIECES, INCLUDING BUT NOT LIMITED TO ANY ERRORS OR OMISSIONS.

IN ANY EVENT, THE AGGREGATE LIABILITY OF DELPHI RIVE AND OUR AFFILIATES, EMPLOYEES, AND SERVICE PROVIDERS UNDER THESE TERMS SHALL NOT EXCEED FIVE HUNDRED DOLLARS ($500.00) OR THE TOTAL AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

THE FOREGOING LIMITATIONS DO NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, AND IN SUCH JURISDICTIONS OUR LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

Indemnification

To the fullest extent permitted by law, and except to the extent arising from our gross negligence or intentional misconduct, you agree to indemnify, defend, and hold harmless Delphi Rive, our employees, contractors, licensors, service providers, subcontractors, suppliers, and interns, from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of your breach of these Terms or your violation of any law or rights of a third party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense. You may not settle any claim on our behalf without our prior written consent.

Force Majeure

Delphi Rive shall not be liable for any failure to perform or delay in performance of any obligation under these Terms to the extent caused by circumstances beyond our reasonable control, including without limitation: acts of God; natural disasters; epidemics or pandemics; civil unrest or war; governmental action; labor disputes; supplier or carrier failures; interruptions of telecommunications or internet services; or any other event of force majeure.

Our obligations shall be suspended for the duration of such event, and we will use reasonable efforts to mitigate its effects.

Governing Law

These Terms, and any separate agreements whereby we provide you Pieces or other services, shall be governed by and construed in accordance with the laws of the State of Florida, without reference to any conflict of law principles. The Uniform Commercial Code, as adopted by the State of Florida, shall apply to the sale of Pieces under these Terms.

You agree that you will not use the Site or purchase Pieces in any country or in any manner prohibited by applicable laws.

Arbitration Clause & Class Action Waiver

Important — please review carefully, as this section affects your legal rights, including your right to file a lawsuit in court.

Initial Dispute Resolution

You and Delphi Rive agree that most disputes can be resolved without resorting to arbitration. Before initiating arbitration or any legal proceeding, the parties agree to first send written Notice of the Dispute ("Notice") to the other party and to attempt good-faith resolution within thirty (30) days. Notice to Delphi Rive should be sent to privacy@delphirive.com. The Notice must include a description of the nature and basis of the claim and the relief sought.

Binding Arbitration

If you and Delphi Rive cannot resolve the claim within thirty (30) days of Notice, either party may initiate confidential binding arbitration in the State of Florida, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. The arbitrator may award the same individual damages and relief as a court (including injunctive and declaratory relief or statutory damages). The Federal Arbitration Act governs the interpretation and enforcement of this provision.

YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY AND KNOWINGLY FORFEITING YOUR RIGHT TO A TRIAL BY JURY AND TO PROCEED IN STATE OR FEDERAL COURT.

If the value of relief sought is $10,000 or less, either party may elect to have the arbitration conducted by telephone or based solely on written submissions. The arbitration shall be held in Florida or at another mutually agreed location convenient to the parties.

Class Action Waiver

YOU AND DELPHI RIVE AGREE THAT DISPUTES WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION ONLY, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

If a court determines that the class action waiver is unenforceable, the entire arbitration provision shall be deemed null and void.

Exempt Claims

The following claims are not required to be submitted to arbitration:

Claims brought on an individual basis in small-claims court within the court's jurisdictional limits
Claims brought on an individual basis to enjoin infringement or other misuse of intellectual property rights, which may be brought in any court of competent jurisdiction

Opt Out

You may opt out of this arbitration provision by writing to us within sixty (60) calendar days of your first agreement to these Terms, either by email at privacy@delphirive.com with the subject line "Arbitration Opt-Out," or by mail to: Delphi Rive, 1000 Brickell Ave, Miami, FL 33131. Include your name, address, and the date in your correspondence. This is the only way to opt out.

One-Year Time Limit on Claims

To the extent permitted by law, any claim or cause of action you may have arising out of or relating to your use of the Site or your purchase of Pieces must be commenced within one (1) year after the claim or cause of action arises. This section applies to you and your heirs, successors, and assigns.

Severability & Waiver

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed without affecting the validity of the remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment & No Joint Venture

We may assign our rights or delegate our obligations under these Terms to an affiliate, or in connection with a merger, consolidation, sale of substantially all of our assets, or other corporate transaction. You may not assign your rights under these Terms without our prior written consent.

No joint venture, partnership, employment, or agency relationship exists between you and Delphi Rive as a result of these Terms or your use of the Site.

Except as expressly provided herein, there are no third-party beneficiaries to these Terms.

Termination

These Terms are effective until terminated. We may terminate this agreement at any time without notice and may deny you access to the Site for any reason or no reason. Upon termination, the provisions of these Terms regarding intellectual property, indemnification, limitation of liability, governing law, arbitration, and any other provision that by its nature should survive shall remain in full force and effect.

Changes to These Terms

We reserve the right to change, modify, or amend these Terms at any time to reflect changes in our practices and offerings. Such changes will be effective upon posting to the Site. It is your obligation to review these Terms periodically. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

These Terms may only be modified in writing. Any ambiguities will not be construed against the drafter.

Entire Agreement

These Terms, together with our Privacy Policy, Shipping & Delivery page, Returns & Exchanges page, Accessibility statement, and any other policies or notices referenced herein, constitute the entire agreement between you and Delphi Rive regarding your use of the Site and your purchase of Pieces, and supersede all prior agreements or representations on the subject matter.

In the event of a conflict between these Terms and our Privacy Policy, the Privacy Policy controls.
